ISSUES IN THE GOVERNANCE AND LEADERSHIP

1.       Trustee=E2=80=99s Code of Conduct and Policies Contradiction:

We observed that the organizational policies provide a larger extent of =
powers and authority to the Board of Trustees however the code of the =
conduct and responsibilities of the Board of trustee members are not =
suggesting such duties or liabilities.

2.       Trustees Members Capabilities to Govern the MHI-Kabul Office:

Generally the Board of Trustee=E2=80=99s should not only have a good =
educational qualification but also should also have sufficient =
experience to overlook the overall governance function of an =
organization. During our meeting with the trustee=E2=80=99s members we =
found that the trustee=E2=80=99s members do not have sufficient skills =
and expertise to govern and control the overall functions of the =
Management.

3.       Trustee=E2=80=99s Member=E2=80=99s less Interest in the MHI =
Activities:

We observe that the trustee=E2=80=99s members has very limited knowledge =
of the MHI- Kabul office operations and they have less interest in the =
governance issues. It is also worth mentioning that the MHI Kabul office =
has also not involved the Trustee=E2=80=99s members in the governance =
and approval process of policies etc. one of the trustee=E2=80=99s =
member in Pakistan was not welling to face the assessor due to limited =
knowledge about the MHI-Kabul office activities.

4.       Trustee=E2=80=99s Members Nomination, Election , Selection and =
resignation Mechanism:

There should be a reasonable process for the trustee=E2=80=99s =
member=E2=80=99s nomination, election, selection and resignation. We =
have not observed neither in policy nor in practice any due process for =
the entry and exit of the trustee=E2=80=99s members. After an assessor =
casual meeting with one of the trustee member, the member send a =
resignation to the country director to weave any assumed liability as =
trustee=E2=80=99s member.=20

5.       Grouping & Group Politics Existence in MHI- Kabul Office

We observed that most of the key staff and even support staff are =
serving the MHI office from years, which is a clear evidence that the =
working environment and terms and conditions are reasonable and the =
country director was able to keep the organization=E2=80=99s team =
integrated to a certain limit. There is an immediate need for a teaming =
efforts and reconciliation of differences if any. Fortunately no group =
want to play at the cost of the organization.
