This letter is to confirm our understanding of the terms and objectives =
of our engagement as auditors and the nature of the services we will =
provide.

1.  SCOPE

=20

We will conduct a micro assessment of the UNDP Implementing Partners =
such as yourselves and provide recommendations and institutional =
feedback to UNDP and the organization, under assessment. The micro =
assessment covers the following areas for each of the entity:

1)     Implementing Partner

2)     Program Management

3)     Organizational structure and staffing

4)     Accounting policies and procedures

5)     Fixed assets and inventory

6)     Financial monitoring and reporting

7)     Procurement and Contract management

2.  OBJECTIVES AND APPROACH

=20

The objective of this assessment is to evaluate the internal management =
and controls of Implementing Partner as per the assessment TORs, and =
provide recommendations and institutional feedback to UNDP and the =
Implementing Partner. It is equally important for an Implementing =
Partner to receive constructive institutional feedback to allow them to =
address any weaknesses or areas of concern, in order to build its =
internal capacity for internal management and control.

Our engagement will include the following activities for carrying out =
the assessment of Implementing Partner:

=20

*  Interview management personnel / process owners to get detailed =
understanding of the current state relating to the areas under review.

*  Review available documentation and records and perform walkthrough =
procedures.

*  Benchmark current policies and procedures with better practices.

*  Based on the review carried out, gaps and weaknesses shall be =
identified in the processes and procedures.

*  Recommend effective and efficient remedial actions / improvement =
concepts for agreed gaps and weaknesses in the capacity. Recommendation =
/ effective mitigates shall be suggested to:

*            Improve the capacity of the entity based on the weaknesses =
identified during the review.

*            To resolve / eliminate the internal control weaknesses =
noted during the review.

*            Bring efficiency and effectiveness in the current =
processes.

*            Improve the compliance with the donor requirement, internal =
policies and procedures.

*  Carry out meetings with the managements to discuss the review =
findings noted and obtain their concurrence on the findings / agree =
action plans.

*  Submit an Assessment report to UNDP for each of the entities =
assessed, identifying weaknesses and recommendations based on the review =
procedures performed.

*  Finalization of the Assessment Report after incorporation of comments =
from IP and UNDP.

3.  TIMETABLE FOR THE ASSESSMENT FIELDWORK

Our assessment field visit to your offices will take place this week. We =
will contact you in due course to arrange the date and time of the =
assessment opening meeting.

4.  REPORTING

=20

We will present our assessment findings to you in a meeting at the end =
of our assessment field visit. We will request your responses to our =
findings and we will incorporate your responses in our assessment =
report.

We will submit our report directly to the UNDP Headquarters.
